Corporate Finance

The Corporate Finance department’s expertise lie in small and medium-sized companies, both listed and unlisted. Mangold offers advice in connection with capital raises such as IPOs, rights issues, warrants, bridge loans and other loan financing. Each transaction is analyzed independently before a proposal for the optimal transaction structure is made.

Besides capital raises, the department also offers advice on reverse take-overs, incentive programs and valuations among other services.

Mergers & Acquisitions

We address those of you who have built a successful company and are considering the next step, whether it be through acquisitions, mergers, or a sale. Certified Adviser

Mangold is one of the leading players in the role as Certified Adviser on the Nasdaq First North Growth Market. We help companies who are planning a listing of their share or are in need of advice on stock exchange regulations.

For companies that want to list their share on the Nasdaq First North Growth Market, there is a requirement from the trading venue to engage a Certified Adviser. The role as Certified Adviser involves guiding and supporting the company in the listing process, and, after the listing, to continuously ensure that the company follows the rules and regulations that are in place when having shares admitted to trading.

Mentor NGM

For those who want to take the step as listed on Nordic Growth Market Nordic SME, Mangold offers the Mentor service.

Nordic Growth Market (NGM) Nordic SME is for small and medium-sized companies, that are in rapid growth and want to take the next step through an IPO. In order to be admitted to trading on NGM Nordic SME, the company needs to have a Mentor approved by the trading venue, which is a service Mangold can provide. The mentor shall assist the company in a number of stock market-related issues during the first two years in which the company’s shares are listed.

Liquidity Provider

A liquidity provider improves the quality of trading in listed companies’ shares by ensuring a maximum, specific spread between the bid price and offer price, while at the same time guaranteeing a minimum volume of shares on the purchase and sale side of the order book.
